1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of Codreum’s websites, applications, APIs, dashboards, downloadable tools (including CLI tools), and related services (collectively, the “Services”). The Services are provided by [Legal Company Name] (“Codreum,” “we,” “us,” or “our”).

By creating an account, signing in, clicking “accept,” using the Services, or placing an order, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. Eligibility and accounts

2.1 Eligibility

You must be legally able to enter into a contract to use the Services. The Services are not intended for children under the age of 16 (or the age of digital consent where you live).

2.2 Account security

You are responsible for maintaining the confidentiality of credentials and for all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access or security incident.

2.3 Authorized users

If you provision access for employees, contractors, or other users (“Authorized Users”), you are responsible for their compliance with these Terms.

3. Services

3.1 What Codreum provides

Codreum provides an AWS-first monitoring platform. Current and future offerings may include Route 53 DNS monitoring, alerting and reporting, dashboards, configuration tools, and related modules or integrations.

3.2 Service changes

We may modify, add, or remove features of the Services at any time. If a change materially reduces functionality of a paid plan, we will make commercially reasonable efforts to notify you in advance.

3.3 Free, beta, and preview features

Features labeled alpha, beta, preview, or “early access” may be offered at our discretion and may be changed or discontinued. These features may have reduced support and are provided “as is.”

4. Licenses and acceptable use

4.1 License to use

Subject to these Terms and your plan (including any license terms shown at purchase), we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

You will not, and will not permit others to:

You must comply with our reasonable usage policies and technical limits (for example, quotas and rate limits). We may throttle, suspend, or restrict access to protect the Services and other customers.

4.4 Your systems and configurations

You are responsible for the accuracy of DNS records, monitoring targets, alert destinations, integrations, and other configurations you enable. You are responsible for ensuring you have rights to monitor the domains, services, and systems you configure.

5. Trials, billing, renewals

5.1 Plans

Your plan, pricing, included usage, add-ons, and billing cadence are described on the order page, invoice, or marketplace listing at the time you purchase.

5.2 Billing providers

If you purchase through a third-party marketplace or reseller (for example, AWS Marketplace), your transaction may be governed by that provider’s terms for payments, refunds, and taxes. If you purchase through our website, we may use a payment processor (for example, Lemon Squeezy or an equivalent provider) to process payments.

5.3 Renewals and cancellation

Unless otherwise stated, paid plans renew automatically at the end of the billing period. You may cancel renewal through the portal or your marketplace provider. Cancellation stops future renewal; it does not retroactively refund charges already paid, except where required by law or expressly stated at purchase.

5.4 Taxes

Prices may be exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, or governmental charges, except for taxes based on our net income.

6. Security and privacy

6.1 Security

We use commercially reasonable administrative, technical, and organizational measures designed to protect the Services and customer data. No security measures are perfect; you acknowledge there is always some risk.

6.2 Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you agree that we may process information as described in the Privacy Policy.

7. Support

Support channels, hours, and response targets (if any) depend on your plan. Unless you have an executed support agreement or SLA with Codreum, support is provided on a commercially reasonable basis.

8. Intellectual property

8.1 Our IP

Codreum and its licensors retain all right, title, and interest in and to the Services and related materials, including software, documentation, designs, and trademarks. Except for the limited rights granted above, no rights are granted.

8.2 Your content and data

You retain ownership of content and data you submit to the Services (“Customer Data”). You grant Codreum a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services, to prevent or address technical or security issues, and as required by law.

8.3 Feedback

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

9. Confidentiality

Each party may receive the other party’s non-public information (“Confidential Information”). Each party will protect the other’s Confidential Information using reasonable care and will use it only to perform under these Terms. Confidential Information does not include information that is independently developed, publicly available without breach, or received lawfully from a third party.

10. Third-party services

The Services may integrate with or link to third-party services (for example, cloud providers, ticketing systems, analytics, and payment processors). Your use of third-party services is governed by their terms, and Codreum is not responsible for third-party services.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CODREUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Codreum does not warrant that the Services will be uninterrupted, error-free, or that monitoring will detect every incident.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODREUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODREUM’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID (IF ANY) BY YOU TO CODREUM FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

13. Indemnification

You will defend, indemnify, and hold harmless Codreum and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your Customer Data; or (c) your violation of law or third-party rights.

14. Term, suspension, termination

14.1 Term

These Terms remain in effect while you use the Services.

14.2 Suspension

We may suspend or limit access immediately if we reasonably believe: (a) your use poses a security risk; (b) you are violating these Terms; (c) suspension is required by law; or (d) you have failed to pay fees when due.

14.3 Termination

You may stop using the Services at any time. We may terminate your access with notice if you materially breach these Terms and fail to cure within a reasonable period. We may also terminate free accounts for inactivity with notice.

14.4 Effect of termination

Upon termination, your right to use the Services ends. We will make commercially reasonable efforts to allow you to export Customer Data for a limited period, unless prohibited by law or required for safety/security.

15. Export and sanctions

You will comply with applicable export control and sanctions laws. You represent that you are not located in a country subject to comprehensive sanctions (where prohibited), and are not on a restricted party list.

16. Government users

If you are a government entity, the Services are “commercial computer software” and “commercial computer software documentation” and are provided with only those rights described in these Terms.

17. Changes to the Services or Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last updated” date above, and we may provide additional notice (for example, email or in-product notice). Your continued use after the effective date constitutes acceptance.
